The Besaw Property Solutions websites and mobile apps (collectively, “Websites”; individually, a “Website”) provide numerous services, as referenced on the Websites (the “Services”).
Besaw Property Solutions reserves the right, at its discretion, to revise the terms of this Agreement and/or change, suspend, discontinue, or modify any aspect of any Website. Such modifications may include, without limitation, changes in content, in user priorities, and discontinuance of functional aspects of any Website. Your continued use of any Website after the posting of revisions to the Terms of Use shall constitute your acceptance to be bound by the express terms of any such revisions.
1. Certification of User

4. Access and Delays in Services
Besaw Property Solutions, its affiliates, subsidiaries, and Vendors have no obligation to provide you access to the Website, and are not liable for any loss resulting, directly or indirectly, from delays, inaccuracies, errors, omissions, or interruptions of the Service for any reason, including equipment failure, telephone or internet problems, weather, strikes, fire, acts of God, riots, or acts of war or terrorism.

6.4 Limitation of Liability. YOU AGREE THAT BESAW PROPERTY SOLUTIONS AND ITS AFFILIATES, SUBSIDIARIES, AND VENDORS SHALL NOT IN ANY EVENT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SERVICE FOR ANY PURPOSE WHATSOEVER. IF THE ABOVE LIMITATION SHOULD FAIL OF ITS ESSENTIAL PURPOSE FOR ANY REASON, SUCH LIABILITY SHALL BE LIMITED TO A SUM EQUAL TO TEN PERCENT (10%) OF THE SUMS PAID TO BESAW PROPERTY SOLUTIONS BY YOU UNDER THIS AGREEMENT, OR $100.00, WHICHEVER IS GREATER, AS LIQUIDATED DAMAGES AND NOT AS A PENALTY, EVEN IF BESAW PROPERTY SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIABILITY, IF ANY, SHALL BE COMPLETE AND EXCLUSIVE. THIS SECTION 6 SHALL SURVIVE TERMINATION OF THIS AGREEMENT.
6.5 FTC Notice. Some states do not allow limitations on how long an implied warranty lasts, or the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. This gives you specific legal rights, and you may have other rights that vary from state to state.
7. Indemnification
YOU SHALL RELEASE, DISCHARGE, DEFEND, INDEMNIFY, AND HOLD HARMLESS BESAW PROPERTY SOLUTIONS AND ITS AFFILIATES, SUBSIDIARIES, AND VENDORS, AND EACH OF THEIR MEMBERS, SHAREHOLDERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, AND CONTRACTORS OF WHATEVER TIER (COLLECTIVELY, THE “INDEMNITEES”) FROM AND AGAINST ALL LOSS, CLAIMS, DEMANDS, AND CAUSES OF ACTION OF WHATEVER KIND, INCLUDING COSTS AND ATTORNEYS’ FEES, ARISING FROM OR RELATING TO YOUR ACCESS AND USE OF THE WEBSITE, INCLUDING YOUR USE OF INFORMATION OBTAINED THROUGH IT — EVEN IF CAUSED IN WHOLE OR IN PART BY THE NEGLIGENCE, STRICT LIABILITY, OR OTHER FAULT OF ANY INDEMNITEE. YOU SHALL COOPERATE AS FULLY AS REASONABLY REQUIRED IN THE DEFENSE OF ANY SUCH CLAIM.

9. Unsolicited Marketing
9.1 Besaw Property Solutions supports responsible e-commerce and does not authorize anyone to use the Service to broadcast, distribute, or transmit unsolicited commercial, non-commercial, bulk, or junk electronic mail (“spam”).
9.2 Electronic Direct Marketing Programs. Besaw Property Solutions may develop and participate in electronic direct marketing to users who elect to receive email of specific interest to them. Besaw Property Solutions does not forward user names or addresses to third parties for their own marketing purposes. 11. Miscellaneous
11.1 Governing Law; Venue. The laws of the State of Texas, excluding its conflict-of-law principles, govern this Agreement. Any claim arising from your access to or use of the Service must be brought within two (2) years from the date the claim arose, exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts and waive any objection that they are an inconvenient forum.
11.2 Assignment. You may not assign your rights, obligations, or performance under this Agreement without our prior written consent; any other assignment is null and void.
11.3 Severability. If any provision of this Agreement is found unlawful or unenforceable, it shall be reformed to the extent possible to make it enforceable (or deleted if it cannot be reformed), and the remainder of the Agreement will remain in full effect.
11.4 Connectivity Charges. You understand that your access to and use of the Website may incur third-party connectivity charges, including from your phone or internet provider, such as texting and data fees, and that you are responsible for any such charges.
11.5 Termination. Besaw Property Solutions may terminate or suspend your use of the Website for any reason. Termination does not affect any right or relief to which Besaw Property Solutions may be entitled, at law or in equity. Upon termination, all rights granted to you revert to Besaw Property Solutions.

11.8 Entire Agreement. This Agreement is complete and effective at the time you begin use of the Service, and constitutes the entire agreement between you and Besaw Property Solutions. If any future published terms conflict with this Agreement, the most recently published version controls. Any rights not expressly granted here are reserved by Besaw Property Solutions.
